MASTER TERMS & CONDITIONS AGREEMENT 

Studio Etiquette Reminder

To ensure the best experience during your session, we kindly ask that cell phone usage be minimized while in the studio. Unnecessary distractions may impact the flow of your session and could result in reduced session time. Please note that any time lost due to distractions will not be compensated, and extensions will require additional payment.

Additionally, in order to protect the integrity of our work and maintain the privacy of our setups, taking photos or videos of the studio setups is strictly prohibited. Any violations of this policy may result in termination of your session.

Thank you for your understanding and cooperation as we strive to provide a professional and enjoyable experience for all our clients!

This Agreement is entered into between GJD Fotography LLC, Plainfield, Illinois (“Company”), and any client, renter, sponsor, or contracting party (“Client”).

By booking, paying for, or engaging any services provided by the Company, Client agrees to the following Terms and Conditions.

1. Scope of Services

1.1 The Company provides professional photography, videography, studio rental, podcast production, and related media services as outlined in the booking confirmation, invoice, or proposal.

1.2 A photographer, videographer, or production team will be assigned at the Company’s discretion based on project scope.

1.3 Creative direction, composition, lighting, editing style, and production methodology remain under the sole discretion of the Company.

2. Booking & Payment Terms

2.1 Deposits

A 50% non-refundable deposit is required to secure photography or videography bookings unless otherwise stated. Booking is not confirmed until deposit is received.

Studio rental requires full payment at time of booking.

2.2 Remaining Balance

Remaining balances must be paid on or before the scheduled session date.

2.3 Late Payments

Late balances accrue interest at the maximum rate permitted under Illinois law.

2.4 Overtime Fees

  • Events: $100 per hour, per team member

  • Studio Rental: $100 per hour (subject to availability)

  • Commercial Projects: Determined based on scope and documented in project agreement

Overtime is billed in full-hour increments unless otherwise agreed.

2.5 Chargeback Protection

Client agrees not to initiate payment disputes or chargebacks without first contacting the Company to resolve the matter. Unauthorized chargebacks constitute breach of contract. Client agrees to reimburse the Company for any associated fees, administrative costs, and legal expenses incurred due to improper disputes.

3. Cancellation & Rescheduling Policy

3.1 Photography / Videography Services

  • 72+ hours prior: Rescheduling permitted subject to availability.

  • Less than 72 hours prior: Deposit forfeited.

  • Less than 24 hours prior: Full session balance due.

3.2 Studio Rental

  • Less than 72 hours prior: Non-refundable.

  • Rescheduling permitted with 72+ hours notice, subject to availability.

4. Delivery & File Policy

4.1 Edited deliverables are provided within 10–15 business days unless otherwise stated.

4.2 Raw files are not included. Raw files may be purchased separately at a fee determined by shoot type and file quantity. Delivery within 2 business days after payment.

4.3 Editing beyond the standard package is billed separately according to selected editing tier.

4.4 The Company does not guarantee indefinite file storage. Clients are responsible for downloading and backing up delivered files upon receipt.

5. Intellectual Property & Licensing

5.1 Ownership

All photographs, video footage, audio recordings, designs, and derivative works remain the exclusive intellectual property of GJD Fotography LLC.

5.2 License Grant

Clients receive a non-exclusive, non-transferable license for usage consistent with the purchased service.

Commercial licenses:

  • No geographic restrictions

  • No platform restrictions

  • No time restrictions
    Unless otherwise specified in a written agreement.

5.3 Restrictions

Client may not:

  • Resell media as standalone products

  • Transfer rights to third parties

  • Remove watermarks (if applied)

  • Alter content beyond permitted use

5.4 Portfolio & Marketing Use

The Company reserves the unrestricted right to use all created content for:

  • Website

  • Social media

  • Portfolio

  • Marketing

  • Advertising

Clients may submit a written opt-out request prior to content publication. No privacy fee is required.

6. Studio Rental Terms (Podcast Studio Included)

6.1 Rate: $100 per hour
Minimum booking: 1 hour

6.2 Overtime: $100 per hour, subject to availability.

6.3 Security Deposit: $500 refundable deposit required.
Damages may be deducted. Remaining balance refunded after inspection.

6.4 Cleaning:
Standard cleaning included. Excessive cleaning required: $150 fee.

6.5 Guest Limit:
Maximum 4 guests allowed in studio.

6.6 Equipment Responsibility:
Client is fully responsible for any damage to the Company’s equipment, furnishings, props, fixtures, studio property, or rented items caused directly or indirectly by Client, Client’s guests, invitees, vendors, children, or any third party present during the booking period. This includes but is not limited to accidental damage, spills, misuse, negligence, unauthorized handling of equipment, or failure to follow studio rules. Repair or replacement costs may be charged to Client and deducted from any security deposit where applicable..

7. Podcast Production & Raw Footage

7.1 Raw footage and audio files are provided.

7.2 Editing services available for additional fee.

7.3 The Company does not guarantee views, engagement, or audience growth.

8. Sponsorship Terms (From Scratch Podcast)

8.1 Sponsorship placement depends on selected package.

8.2 Full payment required prior to episode release.

8.3 No performance guarantees regarding downloads, impressions, or revenue.

8.4 The Podcast maintains full editorial control.

8.5 Sponsor grants the Podcast license to use sponsor branding for agreed promotional purposes.

9. Client Responsibilities

Client agrees to:

  • Provide accurate event details

  • Secure venue permissions

  • Obtain model releases where required

  • Arrive on time

  • Ensure safe working environment

  • Communicate promptly

  • Maintain respectful conduct

9.1 Equipment Safety / Hazardous Lighting

  • Client agrees to ensure that all guests, vendors, venue staff, DJs, performers, and other third parties at the event or session do not interfere with, obstruct, handle, move, tamper with, or endanger the Company’s cameras, lenses, lighting, audio equipment, tripods, drones (if applicable), computers, storage devices, or any other gear.

  • Client further acknowledges that certain lighting and special effects, including but not limited to lasers, direct beam lighting, pyrotechnics, fog machines, smoke effects, CO2 cannons, water effects, or other hazardous production elements, may cause serious or permanent damage to the Company’s equipment, including but not limited to camera sensors and lenses.

  • Client agrees to inform all DJs, lighting operators, venue coordinators, and applicable vendors that such effects must not be directed toward or used in a manner that endangers the Company’s equipment or personnel. The Company reserves the right to pause, reposition, limit, or cease coverage if conditions are deemed unsafe or harmful, without refund or liability for missed footage or missed moments resulting from such conditions.

10. Indemnification

Client agrees to indemnify and hold harmless GJD Fotography LLC from any claims, damages, legal actions, or losses arising from:

  • Client-provided content

  • Venue conditions

  • Guest behavior

  • Sponsor materials

  • Third-party intellectual property claims

10.1 Equipment Damage by Third Parties

Client agrees to be financially responsible for any repair, cleaning, replacement, loss of use, or related business interruption costs arising from damage to the Company’s equipment or property caused by Client, guests, attendees, venue staff, DJs, lighting operators, performers, vendors, or any third party associated with the Client’s event, booking, or production.

11. Limitation of Liability

Liability is limited to 50% of the total amount paid by Client.

The Company is not responsible for:

  • Lost moments

  • Weather conditions

  • Venue restrictions

  • Equipment malfunction beyond reasonable control

  • Client or guest interference

11.1 Unsafe or Equipment-Damaging Conditions

The Company shall not be held liable for incomplete coverage, missed moments, reduced footage, or interrupted services resulting from unsafe conditions, hazardous lighting, laser exposure, guest interference, vendor interference, venue restrictions, or any circumstance that reasonably places the Company’s equipment or personnel at risk of damage or harm.

12. Force Majeure

The Company shall not be liable for failure to perform due to acts beyond reasonable control including but not limited to natural disasters, government actions, pandemics, venue closures, civil unrest, labor disputes, or other force majeure events.

13. Public Statements / Defamation

Client agrees not to make knowingly false, defamatory, or malicious statements regarding the Company. This provision does not restrict truthful reviews, good-faith opinions, or lawful consumer rights. Legitimate disputes are encouraged to be addressed directly with the Company first in an effort to resolve concerns professionally.14. Confidentiality

All project discussions, concepts, pricing structures, production methods, and proprietary processes are confidential and may not be disclosed without written consent.

15. AI Usage

The Company may use artificial intelligence tools for workflow enhancement, editing assistance, transcription, or optimization. Final creative decisions remain human-directed. Client content will not be sold or distributed to third-party AI systems for independent commercial exploitation.

16. Dispute Resolution

16.1 Parties agree to attempt mediation in Illinois prior to litigation.

16.2 If mediation fails, disputes shall be resolved in the courts of Illinois.

16.3 If the Company prevails in legal action, Client agrees to pay all attorney fees, court costs, and associated expenses.

17. Amendments

The Company reserves the right to update these Terms at any time. Updated terms apply to future bookings.

18. Acceptance

By submitting payment, booking services, renting studio space, or sponsoring content, Client acknowledges and agrees to these Terms & Conditions in full.

Types of image licenses

GJD Fotography LLC offers various types of licenses for the use of our photographs. By purchasing or using our images, you agree to the terms outlined for the selected license type. Below are the license types, their descriptions, and specific terms:

1. Personal Use License

Description:
This license is for non-commercial, private use of the images (e.g., printing for personal display, sharing with friends and family).

Includes:

  • Printing for personal enjoyment (e.g., wall art, albums).

  • Sharing digitally on personal accounts (with credit to GJD Fotography).

Excludes:

  • Use in advertisements, promotions, or revenue-generating activities.

  • Resale or redistribution of the image in any form.

2. Print Release License

Description:
Allows the client to print the images for personal use without needing to return to us for printing services.

Includes:

  • Printing photos at labs, stores, or online services for personal use.

  • Digital sharing for personal, non-commercial purposes.

Excludes:

  • Use for commercial purposes or profit generation.

  • Editing or altering the images beyond basic cropping or resizing.

  • Resale or third-party distribution.

3. Commercial License

Description:
Grants permission to use images for promotional or revenue-generating purposes, such as marketing, branding, or advertisements.

Includes:

  • Use in advertisements, websites, brochures, or social media campaigns.

  • Modifications like cropping or adding text (as permitted by agreement).

Excludes:

  • Ownership of the copyright (GJD Fotography retains all rights).

  • Resale of the image as a standalone product.

  • Use outside the agreed-upon terms (e.g., time, region, or platform).

4. Editorial Use License

Description:
For journalistic or educational purposes, these images may be used in blogs, news articles, or reports.

Includes:

  • Use in non-commercial blogs, news stories, or publications.

  • Digital or print distribution for informative purposes.

Excludes:

  • Use for commercial advertising or promotional campaigns.

  • Modifications beyond basic cropping or resizing.

5. Exclusive License

Description:
Provides the client with sole rights to use an image, preventing its use or licensing to others.

Includes:

  • Exclusive use in advertisements, branding, or campaigns.

  • Freedom to modify the image within agreed terms.

Excludes:

  • Transfer or resale of rights to third parties without consent.

  • Use beyond the agreed timeframe or purpose.

6. Public Display License

Description:
This license is for displaying images in public spaces, such as galleries, offices, or exhibitions.

Includes:

  • Permission to display images in specific agreed locations.

  • High-resolution files for quality printing.

Excludes:

  • Reproduction or commercial use without additional licensing.

  • Digital sharing or redistribution.

General Terms for All Licenses:

  • GJD Fotography retains the copyright to all images unless explicitly stated otherwise.

  • Unauthorized use, reproduction, or distribution of our images is prohibited.

  • Clients are responsible for adhering to the agreed-upon terms of their specific license.
