Terms and Agreement for Photography and Videography Services
This agreement ("Agreement") is entered into between GJD Fotography LLC, referred to as "the Company," and any client, referred to as "the Client," for the provision of photography and videography services, collectively referred to as "Services."
1. Scope of Services
1.1 The Company agrees to provide professional photography and videography services, as agreed upon and outlined in the attached project proposal or as defined in subsequent communications.
1.2 The Company will assign a dedicated photographer/videographer, or a team thereof, to carry out the Services. The participant(s) present shall be determined by the size and nature of the project.
2. Date, Time, and Location
2.1 The Client agrees to provide the Company with the necessary information regarding the date, time, and location of the event at least 30 days prior to the scheduled date. Changes to the event schedule should be communicated promptly.
2.2 The Company shall not be held liable for any delays or disruptions caused by factors beyond its control, such as severe weather conditions, technical malfunctions, or event cancellations.
2.3. The Company reserves the right to charge an additional fee for events that are scheduled less than 30 days in advance of the date and time of the event. The fees may vary based on the event and time allowed for preparation for said event.
3. Payment Terms
3.1 The Client agrees to pay the Company the agreed upon total fee for the Services. A non-refundable deposit of 80% of the total fee is due upon signing this Agreement.
3.2 The remaining balance shall be paid to the Company no later than 36 hours, prior to the date of the event.
3.3 If additional hours or services are requested by the Client on the event day, an overtime fee of $150 per hour, per photographer/videographer, shall apply. This fee will be invoiced separately and is due upon receipt.
4. Intellectual Property and Usage Rights
4.1 All photographs and videos captured during the provision of Services shall remain the copyrighted property of the Company.
4.2 The Client is granted a non-exclusive, non-transferable, and limited license to use the photographs and videos for personal, non-commercial purposes only. The Client may print, share on social media, and display the images/videos in their home or workplace but may not sell, modify, or enter them into competitions without the prior written consent of the Company.
5. Client Responsibilities:
1. Booking and Payment: Secure a booking by contacting us in advance and agreeing upon the date, time, and location of the shoot. Pay the agreed-upon deposit to confirm the booking, with the remaining balance due on or before the scheduled session.
2. Providing Information: Furnish accurate and detailed information about the shoot, including any specific photography requirements or preferences you may have. This may include themes, poses, attire, or any other relevant aspects.
3. Location and Venue: Secure any necessary permissions, permits, or access to the chosen location or venue for the shoot. Please ensure that the shooting area is safe, clean, and suitable for the intended purpose.
4. Model Release: If the shoot involves individuals who are not part of GJD Fotography LLC or its staff, obtain all necessary model releases and permissions. This includes permission from parents or guardians for minors.
5. Timeliness: Arrive at the location at the scheduled time, prepared and ready for the shoot. Punctuality ensures we have ample time for capturing the best possible images and maximizing the overall experience.
6. Communication: Maintain open and prompt communication throughout the planning process, which includes responding to emails, calls, or messages in a timely manner. Clear communication helps us address any questions, concerns, or changes that may arise.
7. Photographer's Sole Creative Authority: Understand and respect that GJD Fotography LLC has sole creative authority during the shoot, including decisions related to composition, lighting, and artistic style. Trusting our expertise and vision will lead to the best possible outcome.
8. Guest Conduct: Inform guests attending the shoot to respect our professional environment and follow any instructions or guidelines provided by the photographer. It is crucial to ensure an atmosphere conducive to creativity and focus.
9. Image Selection and Editing: Review and select your preferred images from the proofs we provide. Please provide selections within a reasonable timeframe as specified by GJD Fotography LLC. Once the selection is made, allow 1-2 weeks for editing and delivery of the final images.
10. Usage Rights and Copyright: Recognize and respect the copyright ownership of the photographs captured by GJD Fotography LLC. Photographs are protected under international copyright laws and Illinois copyright laws and regulations.
As the client reserve the right to abandon any project at any time or refuse payment for any of the services that the Company has provided. These terms apply only when you have made the initial payment as stated above. By abandoning a project you forfeit any right to the images, that the Company has taken or created, for personal or commercial use.
6. Photographer Responsibilities
1. Service Provision: GJD Fotography LLC , hereinafter referred to as the "Photographer," agrees to provide professional photography services as requested by the client.
2. Scope of Work: The Photographer agrees to discuss and determine the specific services and deliverables required by the client prior to the commencement of any photography assignment. This may include but is not limited to events, portraits, corporate photography, product photography, or any other agreed-upon photography services.
3. Professional Conduct: The Photographer shall conduct themselves in a professional and ethical manner throughout the duration of the assignment. This includes dressing appropriately, maintaining a positive and respectful demeanor, and adhering to all relevant laws and regulations.
4. Equipment and Backup: The Photographer will ensure that all necessary photography equipment is in good working condition and will bring backup equipment if deemed necessary. However, the Photographer shall not be liable for any disruptions or technical issues that may arise during the assignment.
5. Timeliness and Attendance: The Photographer agrees to arrive at the designated location at the scheduled time, adequately prepared and ready to commence the agreed-upon photography services. In the event of any unforeseen circumstances or delays, the Photographer shall promptly inform the client.
6. Creative Control: The Photographer retains full creative control over the photography process, which includes but is not limited to compositions, angles, poses, lighting, and post-processing. Every effort will be made to accommodate the client's preferences, but the Photographer's professional expertise shall be the ultimate artistic authority.
7. Delivery of Final Product: The Photographer shall deliver the final products as mutually agreed upon, whether in digital or printed format, within the specified timeframe. The Photographer shall not be held responsible for any delays caused by circumstances beyond their control, such as technical difficulties or force majeure events.
8. Copyright and Usage Rights: The Photographer retains the copyright to all photographs taken during the assignment unless otherwise agreed upon in writing. The client is granted a non-exclusive, personal, and non-transferable license to use the photographs for personal purposes. Any commercial use or reproduction of the photographs requires the explicit written permission of the Photographer.
9. Payment Terms: The client agrees to pay the Photographer the agreed-upon fee for the services rendered, as outlined in a separate agreement or invoice. A non-refundable deposit may be required to secure the Photographer's services, with the remaining balance due prior to said photo session or event.
7. Copyright Notice
All content, including but not limited to photographs, videos, and related works produced by GJD Fotography LLC, are protected by copyright laws. By engaging our photo and video production services, you are acknowledging and agreeing to the following terms and conditions:
1. Ownership: The copyright of all content created by GJD Fotography LLC remains the sole property of GJD Fotography LLC. As such, you may not reproduce, distribute, modify, or transmit any of our content without obtaining prior written permission from GJD Fotography LLC.
2. Usage Rights: Our clients are granted a non-exclusive, non-transferable license to use the photographs and videos provided by GJD Fotography LLC solely for personal or commercial purposes directly related to the client's business. This license is limited to the intended usage specified in the agreement between the client and GJD Fotography LLC and does not include the right to sublicense the content to any third party.
3. Alterations: Any alteration, modification, or manipulation of our content, including cropping, editing, adding filters, or removing watermarks, without the explicit written consent of GJD Fotography LLC is strictly prohibited.
4. Attribution: When using our content, clients agree to provide proper attribution to GJD Fotography LLC. This includes crediting GJD Fotography LLC as the source of the photographs or videos whenever and wherever they are used, in print or digital media.
5. Infringement: Unauthorized usage or distribution of our content is a violation of copyright laws. GJD Fotography LLC reserves the right to take legal action for any copyright infringement, seeking remedies available under applicable laws.
6. Confidentiality: Clients acknowledge that any pre-production discussions, concepts, ideas, or methodologies shared by GJD Fotography LLC are confidential and may not be disclosed or used without our express written permission.
By engaging our photo and video production services, you signify your understanding and agreement to abide by the terms and conditions outlined in this Copyright Notice. GJD Fotography LLC reserves the right to update or modify this notice at any time without prior notice to clients. It is the client's responsibility to review and comply with the most recent version of this Copyright Notice.

The client has the right to abandon any project at any time with which they forfeit the initial deposit as well as any right to the photos and/or videos that were created during the entire process; that also includes logo designs, business card layout designs and real estate packages.
