MASTER TERMS & CONDITIONS AGREEMENT

This Agreement applies to all photography, videography, studio rental, podcast production, sponsorship, and related media services provided by GJD Fotography LLC (the “Company”) to any client, renter, sponsor, or contracting party (the “Client”).
By booking, paying for, or engaging the Company's services, the Client acknowledges that they have read, understood, and agreed to these Terms & Conditions.
1. Scope of Services
1.1 Services Provided
The Company provides professional photography, videography, studio rental, podcast recording and production, and related media services.
The specific services, deliverables, pricing, and project requirements will be outlined in the applicable booking confirmation, invoice, proposal, or written agreement.
1.2 Creative Direction
A photographer, videographer, or production team will be assigned at the Company's discretion based on the project scope.
Creative direction, composition, lighting, camera operation, editing style, and production methodology remain under the Company's professional discretion unless otherwise agreed in writing.
1.3 Project Scope
Only services and deliverables expressly included in the selected package or written agreement are included in the quoted price. Additional requests may require additional payment and an adjusted delivery timeline.
2. Booking & Payment Terms
2.1 Photography & Videography Deposits
A 50% non-refundable deposit is required to secure photography and videography bookings unless otherwise stated in the proposal or invoice.
The booking is not confirmed until the required deposit has been received.
2.2 Studio Rental & Podcast Bookings
Studio rental and podcast production bookings require full payment at the time of reservation.
The booking is not confirmed until payment has been successfully received.
Any applicable refundable security deposit is separate from the booking payment and will be disclosed during the booking process.
2.3 Remaining Balances
For photography and videography projects requiring a deposit, the remaining balance must be paid on or before the scheduled session date unless another payment schedule has been agreed upon in writing.
2.4 Late Payments
Late balances may accrue interest at the maximum rate permitted under applicable Illinois law.
The Company reserves the right to withhold deliverables or suspend additional work until outstanding balances are paid.
2.5 Overtime Fees
Overtime rates are as follows unless otherwise agreed in writing:
Events: $100 per hour, per team member.
Studio rental: $100 per additional hour, subject to availability.
Commercial projects: Determined by project scope and documented in the applicable agreement.
Overtime is billed in full-hour increments unless otherwise agreed.
2.6 Additional Charges
Additional editing, extended recording time, extra deliverables, travel, rentals, or other services outside the original agreement may incur additional charges.
The Company will communicate applicable additional costs before proceeding with the additional work.
2.7 Payment Disputes
Clients agree to contact the Company directly to discuss billing concerns or service issues before initiating a payment dispute or chargeback.
Nothing in this Agreement limits any rights the Client may have under applicable law.
3. Cancellation & Rescheduling Policy
3.1 Photography & Videography Services
The following cancellation and rescheduling terms apply unless otherwise specified in a written agreement:
72 hours or more before the scheduled session: Rescheduling is permitted, subject to availability.
Less than 72 hours before the scheduled session: The deposit is forfeited.
Less than 24 hours before the scheduled session: The full session balance becomes due.
3.2 Studio Rental & Podcast Bookings
Cancellations made less than 72 hours before the scheduled booking are non-refundable.
Rescheduling requests made at least 72 hours before the booking may be accommodated, subject to availability.
3.3 Missed Appointments
Failure to attend a scheduled appointment without providing notice does not automatically entitle the Client to a refund or complimentary replacement session.
Late arrival does not extend the reserved session time.
3.4 Company-Initiated Cancellation
If the Company must cancel a booking and cannot arrange a mutually acceptable replacement date or alternative service, the Company will discuss an appropriate refund or other remedy with the Client, subject to applicable law.
4. Delivery & File Policy
4.1 Standard Delivery Timeline
Unless otherwise stated in the proposal, invoice, or package description, edited photography and videography deliverables are generally provided within 10–15 business days.
Podcast production delivery estimates will be communicated according to the selected package, project scope, and production schedule.
4.2 Raw Files
Raw photographs, video footage, and audio files are not included with standard photography and videography packages unless expressly stated.
Raw files may be purchased separately at a fee determined by shoot type and file quantity. Where purchased, raw file delivery is generally within two business days after payment.
Podcast-specific raw footage and audio delivery are governed by Section 7.
4.3 Additional Editing
Editing beyond the standard package scope is billed separately according to the requested editing work or selected editing tier.
4.4 File Storage & Backups
The Company does not guarantee indefinite storage of project files or delivered content.
Clients are responsible for downloading and maintaining backup copies of all delivered files. Delivery links may expire or become inaccessible after a limited period.
The Company may permanently delete files after the applicable retention period.
5. Intellectual Property & Licensing
5.1 Ownership
Unless otherwise agreed in writing, all photographs, video footage, audio recordings, designs, and derivative works created by the Company remain the intellectual property of GJD Fotography LLC.
5.2 Client License
Upon full payment, the Client receives a non-exclusive, non-transferable license to use the delivered media in accordance with the purchased service and applicable agreement.
Commercial licenses generally include:
No geographic restrictions.
No platform restrictions.
No time restrictions.
These terms apply unless otherwise specified in a written agreement.
5.3 Restrictions
Unless expressly authorized in writing, the Client may not:
Resell the media as standalone products.
Transfer or sublicense usage rights to third parties.
Remove watermarks, if applied.
Alter or manipulate content beyond permitted use.
Claim authorship of the Company's original work.
5.4 Portfolio & Promotional Use
The Company reserves the right to use created content for its website, social media, portfolio, marketing, and advertising.
Clients may submit a written opt-out request before the content is published. No privacy fee is required.
The Client is responsible for communicating confidentiality or non-publication requirements before production begins.
5.5 Third-Party Materials
The Client is responsible for obtaining appropriate licenses and permissions for music, images, logos, scripts, and other materials supplied or requested for use in a project.
6. Podcast Studio Rental & Access
6.1 Studio Access Package
Studio Access includes use of the designated podcast studio, podcast seating, recording space, and pre-configured lighting.
Cameras, microphones, recording equipment, recording operation, technical assistance, and editing are not included unless specifically purchased.
Clients booking Studio Access must provide and operate their own recording equipment.
The minimum booking duration is one hour unless otherwise stated.
6.2 Booking Time, Setup & Takedown
The reserved booking duration represents the actual studio session time.
Clients receive:
15 minutes before the scheduled start time for setup and preparation.
The full reserved session for recording.
15 minutes after the scheduled end time for takedown and departure.
Clients must complete setup and exit within these designated periods.
Late arrival, delayed setup, or other Client-related delays do not extend the reserved recording time or entitle the Client to a refund or discounted session.
6.3 Overtime & Additional Time
Additional studio time must be approved by the Company in advance and is subject to availability.
Unauthorized use of the studio beyond the reserved time may result in an overtime charge of $100 per additional hour or the applicable rate disclosed by the Company.
Overtime does not automatically include additional recording, editing, or post-production services.
6.4 Security Deposit
A refundable security deposit of $500 may be required for applicable studio bookings, as specified during the booking process.
The deposit is separate from the booking payment and may be used to cover damages, excessive cleaning, missing equipment, or other costs resulting from the Client's use of the studio.
Any remaining deposit balance will be refunded after the studio and equipment have been inspected. The Company will provide an explanation of any deductions.
6.5 Guest Limit & Studio Conduct
The maximum number of guests permitted in the studio is four unless prior written approval is obtained from the Company.
The Client is responsible for the conduct and actions of all guests, invitees, vendors, and other individuals accompanying them.
The following are prohibited without prior written authorization:
Unauthorized use, relocation, or reconfiguration of studio equipment.
Food or beverages near sensitive recording equipment.
Smoking, vaping, or illegal activities.
Activities that damage the studio or interfere with scheduled business operations.
Bringing additional guests beyond the approved limit.
The Company reserves the right to stop a session if studio rules are violated or the safety of individuals or property is at risk.
6.6 Cleaning
Standard cleaning following normal studio use is included.
Excessive cleaning resulting from spills, food, waste, misuse, or other unusual conditions may result in a $150 cleaning fee or additional charges when necessary to restore the studio.
6.7 Equipment & Property Responsibility
The Client is responsible for damage to the Company's equipment, furnishings, props, fixtures, studio property, or rented items caused by the Client or anyone accompanying or associated with the Client's booking.
This includes accidental damage, spills, misuse, negligence, unauthorized handling of equipment, or failure to follow studio rules.
Repair or replacement costs may be charged to the Client and deducted from any applicable security deposit. If the damage exceeds the deposit, the Client remains responsible for the remaining reasonable repair or replacement costs.
The Client must immediately report any equipment malfunction, accidental damage, or other incident to the Company.
6.8 Client-Owned Equipment
Clients who bring their own cameras, microphones, computers, lighting, or other equipment are responsible for transporting, installing, operating, securing, and removing their equipment.
The Company is not responsible for damage, loss, theft, or malfunction involving Client-owned equipment, except where liability cannot legally be excluded.
Clients must obtain approval before connecting equipment to the Company's recording systems, electrical infrastructure, or other studio equipment.
6.9 Studio Etiquette & Photography Restrictions
Cell phone usage should be minimized during studio sessions to avoid unnecessary distractions and interruptions.
Time lost due to Client-related distractions will not be compensated, and extensions will require additional payment.
Taking photographs or videos of the studio setup, equipment arrangements, or production configurations is prohibited without prior written authorization.
Violations may result in termination of the session without a refund.
7. Podcast Recording & Equipment Packages
7.1 Podcast Recording Package
The Podcast Recording package includes, as specified in the booking description:
Studio access for the reserved session.
Professional cameras and microphones.
Multicamera recording setup.
Studio lighting and recording equipment.
Technical assistance during recording.
Digital delivery of raw video and audio recordings.
The Company will make reasonable efforts to ensure that recording equipment is properly configured and operational.
7.2 Equipment Use
All Company-owned equipment remains the property of the Company.
Clients may not remove, modify, relocate, reconfigure, or operate equipment outside the intended setup without authorization.
The Client is responsible for damage caused by misuse, unauthorized handling, or failure to follow instructions.
7.3 Raw Footage & Audio Delivery
Raw video and audio files are included with the Podcast Recording package.
Raw footage is not automatically included with Studio Access or Full-Service Production unless expressly stated in the booking description or agreed upon in writing.
Raw recordings are delivered digitally using a file-sharing or delivery service selected by the Company.
The Client is responsible for downloading and maintaining backup copies of delivered files.
7.4 Technical Issues & Recording Limitations
The Company will make reasonable efforts to maintain functioning recording equipment and reliable recording operations.
However, the Company does not guarantee uninterrupted recording or flawless performance of all equipment, software, storage devices, or third-party services.
If a technical issue occurs, the Company will make reasonable efforts to resolve the problem or arrange an appropriate solution.
The Company is not responsible for technical problems caused by Client-owned equipment, incompatible devices, unstable internet connections, third-party platforms, or other circumstances outside its reasonable control.
8. Full-Service Podcast Production & Editing
8.1 Scope of Services
Full-Service Podcast Production includes studio access, professional recording equipment, multicamera recording, technical assistance, and post-production editing according to the selected package.
Standard editing may include:
Multicamera video editing.
Synchronization of recorded video and audio.
Audio cleanup and level adjustments.
Color correction.
Basic transitions and editing adjustments.
Digital delivery of finished podcast episodes.
Only the services and deliverables expressly listed in the selected package are included.
8.2 Episode Length & Editing Allowances
The standard one-hour Full-Service Production package includes editing of one finished podcast episode up to 30 minutes.
The two-hour Full-Service Production package includes the deliverables specified in its booking description or written agreement.
The four-hour Batch Recording Full-Service package includes editing of up to four finished podcast episodes, each with a maximum finished length of 30 minutes.
Recording additional footage or extending a session does not automatically include additional edited episodes.
Additional episodes, extended episode lengths, extensive revisions, and editing beyond the agreed scope may incur additional charges.
8.3 Editing Process & Creative Decisions
The Company will use its professional judgment when editing recordings, including camera selection, switching, pacing, audio adjustments, and color correction.
The Client may provide editing instructions or preferences before production begins. However, the Company is not obligated to provide editing styles, effects, animations, or design elements that are not included in the purchased package.
The Company does not guarantee that every recording can be edited into a finished episode if the source material is incomplete, corrupted, unusable, or technically compromised.
8.4 Revisions
Full-Service Production includes one round of minor revisions per finished episode.
Minor revisions may include:
Small timing adjustments.
Removal of specific sections.
Basic editing corrections.
Minor audio or visual adjustments.
A revision request must be submitted as one consolidated list of changes.
The following are not considered minor revisions:
Complete changes to the editing direction or style.
Re-editing the entire episode.
Replacing or restructuring substantial portions of the episode.
Adding new footage or recording material.
Creating additional deliverables.
Extensive graphics, animations, or visual effects.
Such requests may require an additional fee and a revised delivery timeline.
8.5 Client Approval
The Client is responsible for reviewing finished content and submitting revision requests within a reasonable period after delivery.
Once the included revision round has been completed and the final files have been approved or accepted, additional changes will be treated as new editing work and billed separately.
8.6 Delivery Time
Estimated delivery times will be communicated based on project scope and the Company's current production schedule.
Delivery timelines may be extended due to incomplete source material, late Client feedback, additional revision requests, technical issues, or circumstances outside the Company's reasonable control.
Rush delivery is not included unless specifically purchased and confirmed in writing.
9. Four-Hour Podcast Batch Recording
9.1 Package Description
The four-hour Batch Recording package is designed for Clients who wish to record multiple podcast episodes during one studio visit.
The package includes four hours of actual studio session time. The selected production level determines the equipment and services provided.
9.2 Available Production Levels
A. Studio Access – $320
Includes:
Four hours of studio access.
Podcast seating and recording space.
Pre-configured lighting.
Use of the designated studio environment.
The Client must provide and operate their own cameras, microphones, and recording equipment.
Recording assistance, Company recording equipment, raw footage delivery, and editing are not included.
B. Podcast Recording – $720
Includes everything in Studio Access, plus:
Professional multicamera recording equipment.
Cameras and microphones.
Recording equipment and lighting.
Technical assistance during recording.
Digital delivery of raw video and audio files.
Editing and post-production are not included.
C. Full-Service Production – $1,200
Includes everything in Podcast Recording, plus:
Editing of up to four podcast episodes.
Maximum finished episode length of 30 minutes per episode.
Multicamera video editing.
Audio cleanup and synchronization.
Color correction.
Digital delivery of finished episodes.
Up to 15 AI-generated vertical social media clips using OpusClip.
One round of minor revisions per finished episode.
9.3 Batch Recording Limitations
The four-hour booking is a fixed recording session and does not guarantee that the Client will be able to record four complete episodes.
The number of episodes successfully recorded depends on episode length, number of participants, preparation, and recording schedule.
The four-episode editing allowance applies only to the Full-Service Production option. It does not guarantee that four episodes will be recorded.
Additional recording time, additional episodes, extended episode lengths, and services beyond the package allowance require separate approval and payment.
9.4 Setup & Takedown
The 15-minute setup and 15-minute takedown periods described in Section 6.2 apply to all four-hour Batch Recording bookings.
The four-hour recording session cannot be extended without prior approval.
10. Social Media Clips & Additional Services
10.1 Social Media Clips Add-On
Social media clips are available as an optional $100 add-on for eligible shorter Full-Service Production bookings.
The add-on includes up to 15 AI-generated vertical video clips created using OpusClip from the Client's recorded podcast footage.
The four-hour Full-Service Batch Recording package already includes up to 15 AI-generated clips.
10.2 AI-Generated Clip Selection
The Company uses OpusClip and other automated editing tools to identify potential highlights, select moments, and format clips for vertical social media platforms.
The Client understands and agrees that:
Clip selection and formatting are assisted by artificial intelligence.
The number of usable clips depends on the quality, subject matter, and content of the original recording.
Up to 15 clips are included; this is not a guarantee that 15 suitable or unique highlights will always be available.
Clips may require review by the Client before publication.
AI-generated captions, titles, framing, and selections may contain errors or require correction.
Extensive manual editing, custom animations, advanced motion graphics, custom branding, and individually tailored social media campaigns are not included unless separately purchased.
10.3 Additional Services
The following services may be available for an additional fee:
Additional social media clips.
Additional edited podcast episodes.
Custom YouTube thumbnails.
Custom episode intros and outros.
Branded graphics and animations.
Captions and subtitle files.
Extended editing and post-production.
Rush delivery.
Other custom production services.
Prices and delivery timelines will be communicated and approved before the work begins.
10.4 No Guarantee of Marketing Results
The Company does not guarantee views, impressions, engagement, followers, subscribers, leads, sales, audience growth, or other marketing results from podcast recordings, edited episodes, or social media clips.
Performance depends on factors outside the Company's control, including content quality, audience interest, platform algorithms, publishing frequency, and Client marketing activities.
11. Client Responsibilities & Production Safety
11.1 General Responsibilities
The Client agrees to:
Provide accurate project, event, and session details.
Secure necessary venue permissions and access.
Obtain model releases, appearance releases, and other required permissions.
Arrive on time and follow the agreed schedule.
Provide a safe and suitable working environment.
Communicate project requirements and changes promptly.
Ensure guests, vendors, and other participants behave respectfully.
Follow reasonable instructions from the Company's personnel.
11.2 Equipment Safety & Hazardous Lighting
The Client must ensure that guests, vendors, venue staff, DJs, performers, lighting operators, and other third parties do not interfere with, obstruct, handle, move, tamper with, or endanger the Company's cameras, lenses, lighting, audio equipment, tripods, drones, computers, storage devices, or other equipment.
Certain lighting and special effects, including but not limited to lasers, direct-beam lighting, pyrotechnics, fog machines, smoke effects, CO2 cannons, water effects, and other hazardous production elements, may cause serious or permanent damage to Company equipment, including camera sensors and lenses.
The Client agrees to inform relevant vendors and venue personnel that such effects must not be directed toward or used in a manner that endangers Company equipment or personnel.
The Company reserves the right to pause, reposition, limit, or cease coverage if conditions are deemed unsafe or harmful to equipment or personnel. The Company will not be responsible for missed footage or missed moments resulting from such necessary safety measures, subject to applicable law.
12. Copyright, Client Materials & Recording Permissions
12.1 Client-Provided Content
The Client is responsible for ensuring that all content, music, images, logos, recordings, scripts, and other materials provided to or requested from the Company may legally be used in the production.
The Client represents that they have obtained all necessary rights, licenses, permissions, and releases for materials they supply.
The Company is not responsible for copyright or licensing violations arising from materials provided or selected by the Client.
12.2 Guest Permissions & Recording Consent
The Client is responsible for obtaining permission from all guests, participants, interviewees, models, and other individuals appearing or speaking in a recording or photograph.
The Client must ensure that participants understand that their image, voice, and statements may be recorded, edited, and distributed.
The Company may request signed appearance, model, or recording releases before production.
12.3 Ownership & Usage Rights
Ownership and licensing of Company-created photographs, video footage, audio recordings, and other deliverables are governed by Section 5 unless a separate written agreement states otherwise.
The Client retains ownership of original materials and intellectual property they provide.
The Company retains ownership of its pre-existing editing templates, production methods, workflows, software configurations, equipment setups, and other proprietary materials.
12.4 Project Files
DaVinci Resolve project files, editing timelines, source project files, working files, and other internal production materials are not included unless separately agreed upon in writing.
13. Sponsorship Terms – From Scratch Podcast
13.1 Sponsorship Placement
Sponsorship placement, advertising mentions, and promotional deliverables depend on the selected sponsorship package and written agreement.
13.2 Payment
Full sponsorship payment is required before the sponsored episode is released unless otherwise agreed in writing.
13.3 No Performance Guarantees
The Company and the podcast do not guarantee downloads, views, impressions, engagement, leads, sales, or revenue resulting from sponsorship placement.
13.4 Editorial Control
The podcast maintains full editorial control over its content, discussions, opinions, and final production.
Sponsorship does not guarantee favorable opinions, endorsements, or specific editorial statements.
13.5 Sponsor Materials & Permissions
The sponsor grants the podcast and Company permission to use the sponsor's name, logo, branding, and supplied promotional materials for the agreed sponsorship and promotional purposes.
The sponsor is responsible for ensuring that supplied materials may legally be used.
14. Indemnification
To the extent permitted by applicable law, the Client agrees to indemnify and hold harmless GJD Fotography LLC, its owners, employees, contractors, and representatives against third-party claims, damages, liabilities, and reasonable expenses arising from:
Client-provided content or materials.
Copyright, licensing, or intellectual property violations involving materials supplied by the Client.
Venue conditions or lack of required venue permissions.
Guest, attendee, vendor, or other third-party behavior associated with the Client's booking or event.
Sponsor materials or promotional claims supplied by the Client.
The Client's breach of this Agreement or violation of applicable law.
The Client is also responsible for reasonable repair, cleaning, replacement, or related costs arising from damage to Company equipment or property caused by the Client or third parties associated with the Client's booking or event.
15. Liability & Service Limitations
15.1 Reasonable Care
The Company will exercise reasonable care when operating equipment, handling recordings, editing content, and providing production services.
15.2 Circumstances Outside Company Control
The Company is not responsible for interruptions, delays, incomplete coverage, or missed moments resulting from circumstances beyond its reasonable control, including:
Weather conditions.
Venue restrictions or closures.
Power outages or internet interruptions.
Hardware, software, or storage failures beyond reasonable control.
Third-party platform outages.
Client, guest, or vendor interference.
Unsafe conditions or hazardous lighting.
Other unforeseen circumstances that prevent or limit performance.
Where a technical failure or other issue prevents the Company from delivering the agreed service, the Company will make reasonable efforts to resolve the issue or discuss an appropriate remedy with the Client.
15.3 Limitation of Liability
To the extent permitted by applicable law, the Company's total liability arising from a particular booking or project will not exceed 50% of the total amount paid by the Client for that booking or project.
The Company will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost business opportunities, lost audience growth, or anticipated marketing results.
Nothing in this Agreement excludes or limits liability that cannot legally be excluded or limited under applicable law.
15.4 Unsafe Conditions
The Company may pause, limit, or discontinue services where conditions reasonably place Company personnel or equipment at risk.
The Company will not be held responsible for incomplete coverage, missed moments, reduced footage, or interrupted services resulting from necessary safety measures, subject to applicable law.
16. Force Majeure
The Company will not be liable for failure or delay in performing its obligations due to events beyond its reasonable control.
Such events may include natural disasters, severe weather, government actions, pandemics, venue closures, civil unrest, labor disputes, utility failures, or other unforeseen circumstances that make performance impractical or impossible.
The Company will make reasonable efforts to communicate with the Client and discuss rescheduling or another appropriate arrangement.
17. Confidentiality
The Client and Company agree to respect confidential information exchanged in connection with a project.
Confidential information may include non-public project discussions, concepts, pricing structures, production methods, business information, and proprietary processes.
Neither party should disclose the other party's confidential information without written permission, except where disclosure is required by law or necessary to perform the agreed services.
This section does not prevent the Company's portfolio and promotional use permitted under Section 5.4.
18. Artificial Intelligence & Third-Party Tools
The Company may use artificial intelligence tools and third-party software for workflow enhancement, editing assistance, transcription, clip selection, formatting, and content optimization.
Final creative and production decisions remain under the Company's direction.
For podcast social media clips, the Company may use OpusClip to identify potential highlights and generate vertical-format content as described in Section 10.
The Company will not sell Client content or knowingly authorize third-party AI providers to exploit Client content independently for commercial purposes. The Client acknowledges that third-party services may process uploaded content to provide their services and are subject to their own terms and privacy policies.
19. Public Statements & Disputes
19.1 Good-Faith Communications
The parties are encouraged to communicate directly and in good faith to resolve service concerns, billing issues, or disagreements.
Nothing in this Agreement restricts truthful reviews, good-faith opinions, or lawful consumer rights.
19.2 Dispute Resolution
The parties agree to make reasonable efforts to resolve disputes through direct communication.
If a dispute cannot be resolved informally, the parties agree to attempt mediation in Illinois before proceeding with litigation, unless urgent legal relief or another exception is permitted by law.
19.3 Governing Law & Venue
This Agreement is governed by the laws of the State of Illinois.
Any legal proceedings arising from this Agreement shall be brought in a court of competent jurisdiction in Illinois.
19.4 Legal Fees & Costs
Where permitted by applicable law, the prevailing party in a legal action may seek recovery of reasonable attorney fees and court costs.
20. Amendments & General Provisions
20.1 Amendments
The Company reserves the right to update these Terms & Conditions.
The version presented to the Client at the time of booking will govern that reservation, subject to applicable law and any separate written agreement.
Updated terms will apply to future bookings.
20.2 Entire Agreement
These Terms & Conditions, together with the applicable booking confirmation, invoice, proposal, and any written project agreement, represent the agreement between the Company and Client.
If a specific written project agreement conflicts with these general Terms & Conditions, the specific written agreement will control for that project to the extent of the conflict.
20.3 Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
20.4 No Waiver
Failure by the Company to enforce a provision of this Agreement does not constitute a waiver of its right to enforce that provision later.
21. Acceptance of Terms
By submitting payment, booking services, renting studio space, or sponsoring content, the Client acknowledges that they have read, understood, and agreed to these Terms & Conditions.
The Client is responsible for communicating applicable studio, safety, and conduct requirements to guests, participants, vendors, and other individuals attending a session or event on their behalf.

Types of image licenses
GJD Fotography LLC offers various types of licenses for the use of our photographs. By purchasing or using our images, you agree to the terms outlined for the selected license type. Below are the license types, their descriptions, and specific terms:
1. Personal Use License
Description:
This license is for non-commercial, private use of the images (e.g., printing for personal display, sharing with friends and family).
Includes:
Printing for personal enjoyment (e.g., wall art, albums).
Sharing digitally on personal accounts (with credit to GJD Fotography).
Excludes:
Use in advertisements, promotions, or revenue-generating activities.
Resale or redistribution of the image in any form.
2. Print Release License
Description:
Allows the client to print the images for personal use without needing to return to us for printing services.
Includes:
Printing photos at labs, stores, or online services for personal use.
Digital sharing for personal, non-commercial purposes.
Excludes:
Use for commercial purposes or profit generation.
Editing or altering the images beyond basic cropping or resizing.
Resale or third-party distribution.
3. Commercial License
Description:
Grants permission to use images for promotional or revenue-generating purposes, such as marketing, branding, or advertisements.
Includes:
Use in advertisements, websites, brochures, or social media campaigns.
Modifications like cropping or adding text (as permitted by agreement).
Excludes:
Ownership of the copyright (GJD Fotography retains all rights).
Resale of the image as a standalone product.
Use outside the agreed-upon terms (e.g., time, region, or platform).
4. Editorial Use License
Description:
For journalistic or educational purposes, these images may be used in blogs, news articles, or reports.
Includes:
Use in non-commercial blogs, news stories, or publications.
Digital or print distribution for informative purposes.
Excludes:
Use for commercial advertising or promotional campaigns.
Modifications beyond basic cropping or resizing.
5. Exclusive License
Description:
Provides the client with sole rights to use an image, preventing its use or licensing to others.
Includes:
Exclusive use in advertisements, branding, or campaigns.
Freedom to modify the image within agreed terms.
Excludes:
Transfer or resale of rights to third parties without consent.
Use beyond the agreed timeframe or purpose.
6. Public Display License
Description:
This license is for displaying images in public spaces, such as galleries, offices, or exhibitions.
Includes:
Permission to display images in specific agreed locations.
High-resolution files for quality printing.
Excludes:
Reproduction or commercial use without additional licensing.
Digital sharing or redistribution.
General Terms for All Licenses:
GJD Fotography retains the copyright to all images unless explicitly stated otherwise.
Unauthorized use, reproduction, or distribution of our images is prohibited.
Clients are responsible for adhering to the agreed-upon terms of their specific license.
